Termination
Termination of the subscription must be written less than 14 days after delivery, if the client does not address after 14 days, the subscription has started. Then the customer binds to 12 months time. The first billing period starts from the subscription start till the beginning of next month. After that the billing is monthly in advance.
The extent of the subscription can be changed if it is necessary to enlarge the system.
Payment terms
Payment terms is 14 days net from invoice date. On delayed payment, Garderobe Web is entitled to charge late fee and interests at the relevant statutory provisions.
In addition, Garderobe Web has the right to disconnect you from the system until full payment has been laid, and to require reopening fee for subsequent reopening of the system.
Expiration of the agreement
It is valid to give a written termination 1 month before the expiration of the subscription.
The agreement can not be terminated in a subscription period. If the subscription is not terminated, it will be extended for another 12 months.
Operational stability
Malfunction caused by factors out of Garderobe Webs influence, is not Garderobe Webs responsibility. However, the service can be bought at additional charge.
To continue to have the best product, it is necessary to periodic expand/replace technical installations and update the software etc.
In relation to this, Garderobe Web reserves the right to make short interruptions, within reasonable notice. However, interruptions will be sought during periods when the system is least loaded.
Software
Garderobe Web disclaims any responsibility regarding software errors, but we will fix bugs as soon as possible.
Ownership of the product and the application
The product and the application is copyrighted and belongs entirely to Garderobe Web. Individually produced software also belongs to Garderobe Web, unless otherwise agreed in writing.
Ownership of data
The customer owns and can freely dispose of data in the system. When an agreement expires - either termination or default - the subscriber still have access to the system for 14 days after the expiration. Existing data can be exported in this period. 120 days after the expiration of the agreement, all data will be final deleted.
Transfer
By a change of ownership, the customer can transfer the subscription to the new owner, by signing a new contract.
Transfer
Garderobe Web is entitled to transfer rights and obligations due this contract to third party, then may be made a new contract for transportation holder's general terms and conditions or the customer is required to sign a new contract for transportation holder's general terms and conditions.
Delays and errors
In case of technical problems - for example power failure or other abnormal conditions - Garderobe Web takes no responsibility for delays, errors or defects caused by failures or errors in modem equipment, ADSL connections, lines, installations etc. falling within the public or concessionary telephone companies.
Garderobe Webs responsibilities
Garderobe Web takes no responsibility for the accuracy of the data that the customer enters in the system. Garderobe Web is responsible within Danish laws general rules for losses caused by mistakes or negligence of this, but they are not responsible for errors, in the application that has been made available.
Confidentiality
Garderobe Web preserve the confidentiality of any information, Garderobe Web they come into possession of the customer. Garderobe Web must also ensure, that given information is not disclosed or used for other purposes than the agreed, unless the customer gives a written consent in advance, and that all data is processed safely and confidentially.
Disputes
Any dispute that originates from the agreement shall be brought to courts for the place, where Garderobe Web is practiced or headquartered.
